Who sells and to whom these terms apply

The seller is Axia Strategies SL (trading as Milato Studio), Spanish tax ID (NIF) B75963686, registered address C. de la Sort, 11 · 25700 La Seu d'Urgell (Lleida), Spain, email hola@milatostudio.com ("we", "us").

These terms govern the purchase of MilaFlow licences through milaflow.dev by professionals, businesses and, where applicable, consumers ("you"). Where something applies only to consumers, this is stated expressly. The contract is concluded in Spanish; we archive it and send you its confirmation and the invoice by email.

Definitions

• Plugin: the MilaFlow software for WordPress.
• Licence: the right to use the MilaFlow services associated with a key, within the limits of your plan.
• Site: each production domain on which you activate the licence. Development and staging environments (for example, localhost, .local or .test domains, or staging.yourdomain.com) do not count as sites.
• Migration: converting a site built with a visual page builder (Elementor, Divi, WPBakery or others) to native WordPress. Migrations are unlimited on your plan's sites: you can convert and reconvert pages as many times as you like.
• Period: each year the licence is in force, starting from the date of purchase or of the latest renewal.

What you are buying

The Plugin's code is distributed under the GNU GPL licence, like WordPress. What you purchase is a commercial service licence which, while in force and within the limits of your plan, entitles you to:

• activate the MilaFlow agent (MCP server) on your sites;
• receive Plugin updates;
• use the migration service included in your plan;
• receive email support.

The licence key, your account and the associated services are personal and non-transferable. The GPL licence of the code grants no rights over the MilaFlow trademark nor access to these services.

MilaFlow does not include any artificial intelligence service. You operate it with your own agent and subscription (Claude Code, Codex, Cursor or another MCP-compatible client), which you contract separately and which are governed by their provider's terms.

Plans and limits

The features, limits and prices of each plan are shown on the pricing page at the time of purchase and form part of this contract. In short: each plan sets a number of sites. Migrations of sites to native WordPress are unlimited on your plan's sites. You can release a site from your account in order to activate another.

Technical requirements

The Plugin requires WordPress 5.2 or later and PHP 7.2 or later, as well as an MCP-compatible AI agent. You are responsible for your hosting, for keeping backups of your sites and for reviewing the result of changes before publishing them. Migrations are generated as drafts and keep the original so that changes can be reverted.

Purchase process

1. You choose a plan on the pricing page.
2. You sign in or create your account.
3. You complete payment on Stripe's secure checkout, where you can review and correct your details, the amount and taxes before paying.
4. Once payment is confirmed, the licence appears in your account and we email you the key, the confirmation and the invoice.

Price, taxes and payment

Prices are stated in euros and exclude taxes. VAT or other applicable taxes are calculated at checkout based on your country and on whether you are a business or a consumer. If you are a business in another EU Member State with a valid VAT number, the reverse-charge mechanism applies. Payment is made by card or other methods offered by Stripe; we do not store your card details.

Term, automatic renewal and cancellation

Annual plans last one year and renew automatically for equal periods, charging the price in force at that time to the same payment method. We will notify you by email before each renewal. You can cancel renewal at any time from your account ("Invoices and payment"); the licence will remain active until the end of the period already paid.

Launch or promotional discounts apply only to the period stated in the offer (for example, the first year). Renewals are charged at the plan's current price, without that discount. Discounts can't be combined in a single purchase.

You can change plans from your account. In that case, amounts already paid are prorated. One-off payments (Founder edition) do not renew.

If a renewal charge fails, we keep the licence active for 14 days while the charge is retried. If payment has not been made by the end of that period, the licence becomes inactive until payment is settled.

Founder edition

The Founder edition is a one-off payment, available only during the announced sale period and up to the announced units, which grants the limits of the Pro plan without renewals for as long as MilaFlow continues to be marketed. Should we ever stop marketing MilaFlow, we would notify you at least six months in advance. The installed Plugin and the content created with it would continue to work.

Money-back guarantee and right of withdrawal

14-day guarantee: if MilaFlow does not convince you, we will refund the full amount if you request it within 14 calendar days of the purchase or of a renewal by writing to hola@milatostudio.com. The licence will be deactivated when the amount is refunded. This guarantee is voluntary and applies to both businesses and consumers.

Consumers: you have the right to withdraw from the contract within 14 calendar days without giving any reason (articles 102 et seq. of the Spanish consolidated General Law for the Protection of Consumers and Users, TRLGDCU). As this is digital content supplied immediately, by completing the purchase you expressly request immediate access and acknowledge that, once the download or activation of the licence has begun, you lose the statutory right of withdrawal (article 103.m). In any event, the 14-day guarantee described above still applies.

Acceptable use

You undertake:

• not to share, publish or resell your licence key or your account;
• not to circumvent or tamper with the site or migration limits of your plan;
• to use MilaFlow lawfully and only on sites you are authorised to work on;
• to take responsibility for the actions your AI agent performs on your sites.

If you seriously breach these obligations, we may suspend or cancel the licence, with prior notice where possible, without any refund for the current period.

Intellectual property and content

The MilaFlow trademark, website and documentation belong to the seller. The content of your sites, including content you create or migrate with MilaFlow, belongs to you or your clients: we acquire no rights over it.

Data protection

We process your account, billing and licence data as described in the privacy policy. MilaFlow runs on your server with your own AI agent: we do not access the content of your sites or any personal data they contain, so we do not act as a processor of that data.

Warranties

We provide the service with due professional diligence and fix the errors we become aware of. We do not guarantee compatibility with all third-party themes, plugins or configurations, nor any specific performance result on every site: published figures correspond to real measurements on specific sites.

Consumers: you have the rights regarding conformity of digital content and services granted by consumer law (articles 114 et seq. of the TRLGDCU), which these terms do not limit.

Liability

To the extent permitted by law and except in cases of wilful misconduct or gross negligence, our total liability towards professionals and businesses for any claim arising from the contract is limited to the amount you have paid in the 12 months preceding the event giving rise to it. Nor are we liable for indirect damages, loss of profits or loss of data that could have been avoided with reasonable backups.

These limitations do not apply to consumers to the extent the law does not permit them.

Support and changes to the service

Support is provided by email on business days, with priority for the Pro, Agency and Founder plans. We may improve and modify MilaFlow's features. If a change removes an essential feature of your plan, we will notify you in advance and you may cancel with a proportional refund for the unused part of the period.

Changes to these terms

We may update these terms. We will notify you at least 30 days in advance by email or in your account. Changes will apply from your next renewal, and if you do not agree you may cancel it. Purchases already made are governed by the terms in force when they were made.

Complaints, governing law and jurisdiction

For any issue or complaint you can write to us at hola@milatostudio.com. Official complaint forms (hojas de queja y reclamación) are available to consumers and can be requested by the same means.

This contract is governed by Spanish law. If you are a consumer, the courts of your place of residence shall have jurisdiction. If you are a professional or a business, the parties submit to the courts and tribunals of the seller's registered address, unless mandatory law provides otherwise.
